Terms and Conditions

These Terms and Conditions ("Agreement") govern the relationship between you (“Client”, “you”, or “your”) and Digital Design 365, operated by Samskruthi Creations LLC, a U.S.-registered company located at 2055 Limestone Road, Wilmington, Delaware 19808, regarding your use of our services and website https://www.digitaldesign365.com.

By engaging with our services, you agree to these Terms and Conditions. If you do not agree, please do not use our services.

1. Services Offered

Digital Design 365 provides the following services:

• E-commerce & business website design and development

• Virtual assistant services

• Customer support solutions

• Website management

• Advertising and marketing services (Google Ads, Meta Ads, Bing Ads, Amazon Ads)

2. Engagement and Scope of Work

The scope of work will be defined and agreed upon in writing via email, contract, or project proposal before the start of any project. Any additional requests or revisions beyond the original scope may incur extra charges.

3. Payment Terms

• A 50% upfront deposit is required to initiate any project or service.

• The remaining 50% is due when the project is 100% completed, prior to final testing and client approval.

• Credential transfer and knowledge handover (including login details, training sessions, documentation, and launch support) will only occur after 100% payment has been received.

Payments must be made via the method and currency specified in your invoice.

4. Client Responsibilities

The client agrees to:

• Provide accurate and timely information, materials, and feedback.

• Respond to requests for approvals or content promptly.

• Ensure any third-party materials supplied do not infringe on copyright, trademark, or intellectual property laws.

5. Revisions and Changes

We include [Insert number, e.g., “two”] rounds of revisions as part of our standard packages. Additional changes outside the agreed scope or revision limit may be billed separately.

6. Timelines

Project timelines will be estimated based on mutual agreement and the scope of work. Delays due to client unresponsiveness, late payments, or scope changes may result in adjusted timelines and delivery dates.

7. Intellectual Property

Upon full payment:

• All deliverables created specifically for you (such as websites, ads, and graphics) will be your property.

• We reserve the right to display completed work in our portfolio or marketing materials unless otherwise agreed.

8. Confidentiality

Both parties agree to keep any confidential information received from the other party private and not to disclose or use it except for the purposes of fulfilling this agreement.

9. Limitation of Liability

Digital Design 365 will not be liable for:

• Any indirect, incidental, or consequential damages

• Loss of data, revenue, or profits

• Delays or failures caused by third-party providers or platforms

Our total liability is limited to the total amount paid by you for the services in question.

10. Refund Policy

We do not offer refunds on completed work. If a project is terminated before completion:

• The upfront deposit is non-refundable.

• Any work completed beyond the deposit amount may be invoiced separately.

11. Termination

Either party may terminate the agreement with written notice. In case of termination:

• The client must pay for any work completed up to the termination date.

• Any partially completed work will not be delivered unless payment obligations are fulfilled.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Delaware, USA.
